Terms of Trading – EU

Effective Date: May 2026

These Terms of Trading apply to all business-to-business (B2B) sales and distribution agreements between Atarna Incorporation OÜ (“the Seller”) and our trade buyers (“the Buyer”). By placing an order with us, the Buyer agrees to be bound by these terms.

1. Business-to-Business (B2B) Sales Only

Atarna Incorporation OÜ strictly operates as a B2B wholesaler and distributor. We do not sell directly to consumers. Buyers must provide valid corporate registration details, including an active VAT number and EORI number for cross-border EU and international trade.

2. Orders and Acceptance

All orders are subject to acceptance by Atarna Incorporation OÜ. An order is only deemed accepted upon the issuance of a formal proforma invoice or order confirmation. We reserve the right to enforce Minimum Order Quantities (MOQ) and Minimum Order Values (MOV), which will be communicated during the account setup process.

3. Pricing and Payment Terms

  • Pricing: All prices are quoted exclusive of Value Added Tax (VAT), customs duties, and delivery charges unless otherwise stated. Prices are subject to change without prior notice due to fluctuations in supplier costs or currency exchange rates.
  • Payment: Payment must be made in full in the agreed currency (typically EUR or GBP) via bank transfer prior to the dispatch of goods, unless a specific credit agreement has been established in writing.
  • Retention of Title: The legal ownership of the goods shall remain with Atarna Incorporation OÜ until full payment has been received and cleared.

4. Delivery and Transfer of Risk

Delivery dates are provided as estimates and are not legally binding. We utilize standard International Commercial Terms (Incoterms 2020), typically EXW (Ex Works) or DAP (Delivered at Place), as specified on the commercial invoice.

The risk of loss or damage to the goods passes to the Buyer upon handover to the first carrier or freight forwarder, or upon delivery to the Buyer’s premises, depending on the agreed Incoterm.

5. Claims and Returns

As a B2B supplier, consumer return rights do not apply. Buyers must inspect all goods immediately upon receipt. Any claims for shortages, damages, or incorrect items must be reported to us in writing, accompanied by photographic evidence, within three (3) business days of delivery. Returns will only be accepted with prior written authorization from Atarna Incorporation OÜ.

6. Limitation of Liability

Atarna Incorporation OÜ shall not be liable for any indirect, special, or consequential loss or damage (including loss of profit, loss of business, or depletion of goodwill) arising out of or in connection with the supply of goods. Our total liability shall not exceed the invoice value of the goods in question.

7. Governing Law and Jurisdiction

These Terms of Trading and any dispute or claim arising out of them shall be governed by and construed in accordance with the laws of the Republic of Estonia. The parties agree to submit to the exclusive jurisdiction of the courts of Estonia.
